Terms of Use

1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("you", "User") and Vidsoftlabs, a company based in India ("Vidsoftlabs", "we", "us", or "our"), governing your access to and use of the GenVid mobile application, available on iOS and Android (collectively, the "App" or the "Service"), including any related websites, features, content, and services made available through the App, such as vidsoftlabs.com.

By downloading, installing, accessing, or using GenVid — including as a guest user — you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the App.

We may update these Terms from time to time as described in Section 17. Your continued use of the App after any such update constitutes your acceptance of the revised Terms.

2. Eligibility

2.1 Minimum Age

You must be at least 13 years of age to create an account or use GenVid. If you are between 13 and the age of majority in your jurisdiction, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. If you are under 13, you may not use the App under any circumstances, and we do not knowingly collect personal data from children under 13.

If we become aware that a user under the age of 13 has created an account or submitted content, we reserve the right to suspend or delete that account and associated data without notice.

2.2 Capacity

By using GenVid, you represent and warrant that you have the legal capacity to enter into a binding contract with Vidsoftlabs, and that you are not barred from using the Service under the laws of India or any other jurisdiction applicable to you.

2.3 Regional Restrictions

The Service may not be available in, or may be restricted for, certain countries or regions due to legal, regulatory, export-control, or payment-processing constraints, including restrictions imposed by Apple's App Store or Google Play in specific territories. We reserve the right to restrict, suspend, or deny access to the Service, in whole or in part, for users located in any jurisdiction at our sole discretion, including where required to comply with applicable law or sanctions.

You are responsible for ensuring that your use of GenVid complies with all laws applicable to you in your country or region of residence and use.

3. Account Registration

3.1 Guest Accounts

GenVid allows you to use certain features of the Service without creating a registered account, using anonymous authentication (powered by Firebase Anonymous Auth). A guest account is device- and session-specific, is not linked to any personal identity, and may be deleted, reset, or lost if you uninstall the App, clear app data, switch devices, or remain inactive for an extended period. We are not responsible for any loss of credits, generated content, or data associated with a guest account.

We strongly recommend upgrading to a registered account if you wish to preserve access to purchased credits and generated content across devices.

3.2 Registered Accounts

You may create a registered account using Sign in with Google or Sign in with Apple. By registering, you authorize GenVid to receive certain basic profile information (such as name, email address, and a unique identifier) from these third-party identity providers, in accordance with their respective terms and privacy policies and our Privacy Policy.

3.3 Account Responsibility

You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activity that occurs under your account, whether or not authorized by you. You agree to notify us immediately at kajalchiragsoft@gmail.com of any unauthorized use of your account or any other breach of security.

You agree to provide accurate information when creating an account and to keep such information up to date. We reserve the right to suspend or terminate any account that we reasonably believe contains false, misleading, or fraudulent information.

3.4 One Account Per User

You may not create multiple accounts to abuse promotional credits, free trials, or other account-specific benefits. We reserve the right to merge, suspend, or terminate accounts that we determine, in our sole discretion, are being used to circumvent these Terms.

4. Description of Service

GenVid is a software-as-a-service application that enables users to generate short-form video content using artificial intelligence, based on:

• Text-to-video generation — you submit a written text prompt describing the desired video, which is processed by third-party AI generation infrastructure (currently provided by Runway) to produce a video output; and
• Image-to-video generation — you upload or select a still image, which is animated or transformed into a video using the same underlying AI infrastructure.

Video generation is a computationally intensive process and consumes Credits (as defined in Section 6). Generation times, output resolution, video length, and available styles may vary and are subject to change without notice, including limitations imposed by our underlying AI infrastructure providers.

Once generated, videos are securely stored on Microsoft Azure Blob Storage and made available to you via time-limited, cryptographically signed URLs. Signed URLs expire after a limited period for security purposes; we may regenerate a new signed URL upon request through the App as long as the underlying content has not been deleted.

We do not guarantee continuous, uninterrupted, or error-free availability of the Service. We may modify, suspend, or discontinue any feature of GenVid — including specific generation models, styles, or capabilities — at any time, with or without notice, and with or without liability to you, except where required otherwise by applicable law.

5. AI-Generated Content

5.1 Nature of AI Output

You acknowledge that video content generated through GenVid ("Generated Content") is produced using artificial intelligence and machine learning models operated by us and by third parties (including Runway). AI generation is inherently probabilistic: outputs may be unpredictable, may not accurately reflect your prompt or uploaded image, may contain visual artifacts, distortions, or inaccuracies, and may occasionally resemble content submitted by other users due to the nature of the underlying models.

5.2 Your Ownership Rights

Subject to your compliance with these Terms, full payment of any applicable Credits, and your ownership or rightful use of any input materials (prompts and images) you submit, Vidsoftlabs assigns to you such rights, title, and interest as we hold in the specific Generated Content produced from your input, to the extent permitted under applicable law. You may use, reproduce, and distribute Generated Content that you own for personal or commercial purposes, subject to Section 8 (Acceptable Use) and the rights of any underlying third-party AI providers.

Where applicable law does not recognize AI-generated output as subject to exclusive ownership (for example, because it lacks the human authorship required for copyright protection in certain jurisdictions), you will nonetheless have the rights to use such Generated Content as set out in these Terms, to the fullest extent we are able to grant them.

5.3 Licence-Back to Vidsoftlabs

By submitting a prompt, image, or other input, and by generating, storing, or sharing Generated Content through GenVid, you grant Vidsoftlabs a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to host, store, reproduce, process, and display such inputs and Generated Content solely for the purposes of: (a) operating, providing, and improving the Service; (b) processing your request through our AI and moderation infrastructure providers; (c) enforcing these Terms and applicable law; and (d) subject to your separate, explicit, opt-in consent obtained through the App, using anonymized or de-identified examples of Generated Content for promotional, marketing, or model-improvement purposes.

We will not publicly showcase your identifiable Generated Content or prompts without your explicit consent.

5.4 Your Responsibility for Inputs and Outputs

You are solely responsible for the prompts and images you submit and for the ways in which you use, publish, or distribute the resulting Generated Content. You represent and warrant that you own or have all necessary rights, licences, and consents (including consents from any identifiable individuals depicted) to submit any image or input to GenVid, and that your use of the Service will comply with Section 8 (Acceptable Use and Prohibited Content).

5.5 Third-Party AI Provider Terms

Because Generated Content is produced using third-party AI infrastructure, your use of the generation features is also subject to the applicable acceptable-use policies of those underlying providers. We reserve the right to reject, block, or remove any prompt, image, or Generated Content that violates our policies or those of our AI infrastructure providers.

6. Credits and Virtual Currency

6.1 What Are Credits

GenVid uses a virtual currency ("Credits") that is consumed when you generate video content or use certain premium features. Credits may be obtained through purchase, promotional grants, referral programs, or as part of a subscription, at our sole discretion.

6.2 No Cash Value

Credits are a limited, revocable licence to access features within GenVid. Credits have no monetary value, are not redeemable for cash, cannot be transferred, gifted, resold, or exchanged between accounts, and do not constitute property, currency, or a financial instrument of any kind. Credits are not deposits, and Vidsoftlabs does not pay interest on unused Credit balances.

6.3 Non-Refundable

Except as expressly required by applicable law, all Credits are non-refundable once purchased, including where an account is suspended or terminated for violation of these Terms. Purchases of Credits are processed and billed exclusively through Apple's App Store or Google Play Billing, and any refund requests are subject to the refund policies of those platforms as described in Section 7.

6.4 Expiry and Forfeiture

Promotional, bonus, or free Credits may be subject to an expiry date, which will be disclosed to you in the App at the time they are granted. Purchased Credits do not expire while your account remains active and in good standing; however, Credits associated with an account that is deleted, terminated for cause, or inactive for an extended period (as disclosed in our Privacy Policy) may be forfeited without compensation.

6.5 Changes to Pricing and Consumption Rates

We reserve the right to change the price of Credit packages, the number of Credits required for any generation feature, and the availability of Credit packages at any time. Such changes will not retroactively affect Credits you have already purchased, but may apply to future purchases and future generation requests.

7. In-App Purchases

7.1 Billing Through Apple and Google

All purchases of Credits, subscriptions, or other paid features within GenVid are processed exclusively through Apple's In-App Purchase (IAP) system (for iOS users) or Google Play Billing (for Android users). Vidsoftlabs does not directly process, store, or have access to your payment card details; these are handled entirely by Apple or Google in accordance with their respective terms of service.

7.2 Refunds

Because all payments are processed by Apple or Google, Vidsoftlabs does not directly issue refunds for Credit purchases or subscriptions. All refund requests must be submitted directly to Apple or Google through their respective refund-request processes:

• iOS users: reportaproblem.apple.com or through Settings → [Your Name] → Subscriptions on your device.
• Android users: Google Play Store → Menu → Order History, or via Google Play support.

Refund decisions are made solely at the discretion of Apple or Google in accordance with their respective policies. Vidsoftlabs will reasonably cooperate with Apple's or Google's support processes where required but cannot guarantee any specific refund outcome.

7.3 Subscriptions

If GenVid offers auto-renewing subscriptions, such subscriptions will automatically renew for the same duration and price unless cancelled at least 24 hours before the end of the current billing period. You may view, manage, and cancel your subscription at any time through:

• iOS: Settings → [Your Name] → Subscriptions
• Android: Google Play Store → Menu → Subscriptions

Cancelling a subscription stops future renewals but does not automatically refund the current billing period, nor does it forfeit any Credits already granted for that period, unless required otherwise by applicable law or the applicable platform's policy.

7.4 Taxes

Prices displayed in the App may or may not include applicable taxes, depending on your jurisdiction and the tax-collection practices of Apple or Google. You are responsible for any taxes associated with your purchases, as collected and remitted by the applicable platform.

8. Acceptable Use and Prohibited Content

You agree to use GenVid only for lawful purposes and in accordance with these Terms. You must not use GenVid to create, upload, generate, store, or share any prompt, image, or Generated Content that:

8.1 Additional Prohibited Conduct

• Using automated means (bots, scripts, scrapers) to access the Service, generate content in bulk beyond normal use, or circumvent Credit consumption or rate limits.
• Reverse-engineering, decompiling, or attempting to extract the underlying AI models, source code, or training data used by GenVid or its infrastructure providers.
• Reselling, sublicensing, or commercially redistributing access to the Service itself (as distinct from Generated Content you rightfully own).
• Attempting to bypass, disable, or manipulate our content moderation systems described in Section 9.

8.2 Consequences of Violation

We reserve the right, but do not assume the obligation, to investigate and take appropriate action against any user who, in our sole discretion, violates this Section, with no entitlement to a refund of any purchased Credits or subscription fees.

9. Content Moderation

9.1 Automated Review

To help enforce Section 8, all text prompts and image inputs submitted to GenVid, and in certain cases the resulting Generated Content, are automatically screened using third-party content moderation technology, including the OpenAI Moderation API and Google Cloud Vision API. These automated systems assess content for indicators of prohibited categories such as violence, adult content, and other policy violations before or after generation occurs.

You acknowledge that automated moderation is not infallible and may occasionally produce false positives (blocking permissible content) or false negatives (failing to catch violating content). We may supplement automated moderation with manual human review, including of flagged content, at our discretion.

9.2 Right to Remove Content and Suspend Accounts

We reserve the right, at our sole discretion and without prior notice, to:

• Reject, block, or refuse to process any prompt or image submitted for generation;
• Remove, delete, or disable access to any Generated Content already produced or stored;
• Suspend, restrict, or permanently terminate any account that violates, or that we reasonably suspect of violating, Section 8 or any other provision of these Terms; and
• Retain records of prohibited content and associated account information as necessary to comply with legal obligations, enforce these Terms, or cooperate with law enforcement.

9.3 Appeals

If you believe your content was removed or your account was suspended in error, you may contact us at kajalchiragsoft@gmail.com to request a review. We will make reasonable efforts to respond, but we are not obligated to reverse any moderation decision.

10. Third-Party Services

GenVid relies on a number of third-party service providers to deliver its functionality. Your use of GenVid means that certain data (as described in our Privacy Policy) is processed by these providers under their own terms of service and privacy policies, which we encourage you to review.

These third-party providers operate independently of Vidsoftlabs, and their availability, performance, and policies are outside our direct control. We are not responsible for any acts, omissions, downtime, data breaches, or policy changes of these third-party providers, although we take reasonable steps to select reputable providers and to configure their use in a manner consistent with this Terms and our Privacy Policy.

Your use of features involving these providers (such as signing in with Apple or Google, or making purchases through App Store or Play Store) may also be governed by the separate terms of those providers, which apply in addition to these Terms.

11. Intellectual Property

11.1 Vidsoftlabs Property

The GenVid App, including its name, logo, user interface, design, source code, underlying software architecture, and all associated trademarks, service marks, and trade dress (collectively, "Vidsoftlabs IP"), are and will remain the exclusive property of Vidsoftlabs and its licensors. Nothing in these Terms grants you any right, title, or interest in the Vidsoftlabs IP, other than the limited, revocable, non-exclusive, non-transferable licence to use the App for its intended personal or, where applicable, commercial purpose in accordance with these Terms.

11.2 Restrictions

You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works based on the App or any Vidsoftlabs IP, except as expressly permitted by these Terms or by applicable law that cannot be waived by contract.

11.3 User Content and Generated Content

As between you and Vidsoftlabs, ownership of prompts, uploaded images, and Generated Content is governed by Section 5 (AI-Generated Content) above.

11.4 Feedback

If you submit ideas, suggestions, or feedback about GenVid, you grant Vidsoftlabs a perpetual, irrevocable, worldwide, royalty-free licence to use such feedback for any purpose, without obligation or compensation to you.

11.5 Copyright Complaints

If you believe that content available through GenVid infringes your copyright, please contact us at kajalchiragsoft@gmail.com with sufficient detail for us to identify and address the material in question, including a description of the copyrighted work, the allegedly infringing material, and your contact information.

12. Disclaimer of Warranties

To the maximum extent permitted by applicable law, THE SERVICE, THE APP, AND ALL GENERATED CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Without limiting the foregoing, Vidsoftlabs does not warrant that:

• the Service will be uninterrupted, timely, secure, or error-free;
• Generated Content will meet your expectations, be accurate, original, or fit for any specific purpose;
• any errors or defects in the App will be corrected;
• the App or the servers that make it available are free of viruses or other harmful components; or
• the results obtained from using the Service will be accurate or reliable.

Any material downloaded or otherwise obtained through GenVid is done at your own discretion and risk, and you are solely responsible for any damage to your device or loss of data resulting from such use.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you to the extent prohibited by applicable law.

13. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Vidsoftlabs, its officers, directors, employees, agents, licensors, or service providers (including Firebase, Runway, Apple, Google, OpenAI, Google Cloud Vision, Microsoft Azure, and Sentry) be liable for any:

• indirect, incidental, special, consequential, exemplary, or punitive damages;
• loss of profits, revenue, data, goodwill, or other intangible losses;
• damages relating to the accuracy, quality, or offensiveness of Generated Content;
• unauthorized access to, alteration of, or loss of your transmitted data or Generated Content; or
• any conduct or content of any third party, including third-party AI infrastructure providers,

arising out of or in connection with your access to or use of, or inability to access or use, the Service, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not Vidsoftlabs has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, Vidsoftlabs' total aggregate liability to you for any and all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total amount you paid to Vidsoftlabs (through Apple or Google) for Credits or subscriptions in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) ₹1,000 (Indian Rupees One Thousand).

Nothing in these Terms shall exclude or limit liability for fraud, gross negligence, or any other liability that cannot be excluded or limited under applicable law, including the Consumer Protection Act, 2019 (India), where applicable.

14. Indemnification

You agree to defend, indemnify, and hold harmless Vidsoftlabs and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• your access to or use of the Service;
• your violation of these Terms, including Section 8 (Acceptable Use and Prohibited Content);
• your prompts, images, or other inputs submitted to GenVid, and any Generated Content derived from them;
• your violation of any third-party right, including intellectual property, privacy, or publicity rights; or
• your violation of any applicable law, rule, or regulation.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

15. Termination

15.1 Termination by You

You may stop using GenVid and delete your account at any time through the in-app account settings, or by contacting us at kajalchiragsoft@gmail.com. Deletion of your account does not entitle you to a refund of any purchased Credits or subscription fees, except as required by applicable law or platform policy.

15.2 Termination by Vidsoftlabs

We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice and with or without cause, including where we reasonably believe that you have:

• violated these Terms, including Section 8 (Acceptable Use and Prohibited Content);
• engaged in fraudulent, abusive, or illegal activity in connection with the Service; or
• created risk or possible legal exposure for Vidsoftlabs or other users.

We may also discontinue the Service, in whole or in part, at any time for business or operational reasons.

15.3 Effect of Termination

Upon termination of your account for any reason, your right to use the Service will immediately cease, any remaining Credits will be forfeited without refund (except where prohibited by applicable law), and we may delete your Generated Content, prompts, and associated data in accordance with our Privacy Policy and our data retention practices. Sections of these Terms that by their nature should survive termination — including Sections 5.3 (Licence-Back), 11 (Intellectual Property), 12 (Disclaimer of Warranties), 13 (Limitation of Liability), 14 (Indemnification), and 16 (Governing Law) — shall survive.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms and any dispute arising out of or in connection with them, or the Service, shall be governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, without regard to its conflict-of-law principles.

16.2 Grievance Officer

In accordance with the Information Technology Act, 2000 and the rules made thereunder, the name and contact details of the Grievance Officer are provided below. Any complaints, concerns, or grievances relating to the Service may be directed to the Grievance Officer:

16.3 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at kajalchiragsoft@gmail.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute informally within thirty (30) days of receiving notice.

16.4 Arbitration

If a dispute is not resolved informally within thirty (30) days, any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or the breach, termination, or validity thereof, shall be referred to and finally resolved by arbitration administered by a sole arbitrator mutually appointed by the parties, in accordance with the provisions of the Arbitration and Conciliation Act, 1996 (India), as amended from time to time.

• The seat and venue of arbitration shall be Ahmedabad, Gujarat, India.
• The language of the arbitration proceedings shall be English.
• The arbitral award shall be final and binding on both parties, subject to any right of appeal available under applicable law.
• Each party shall bear its own costs of arbitration, unless otherwise directed by the arbitrator.

Notwithstanding the foregoing, either party may seek interim or injunctive relief from a court of competent jurisdiction where necessary to prevent irreparable harm, without waiving the agreement to arbitrate.

16.5 Jurisdiction

Subject to Section 16.4, the courts located in Ahmedabad, Gujarat, India shall have exclusive jurisdiction over any matter not subject to arbitration or over the enforcement of any arbitral award, and you consent to the personal jurisdiction of such courts.

16.6 Class Action Waiver

To the extent permitted by applicable law, you agree that any dispute resolution proceeding will be conducted only on an individual basis and not as a class, consolidated, or representative action.

17. Changes to These Terms

We may revise and update these Terms from time to time in our sole discretion, to reflect changes to the Service, our business practices, applicable law, or for other reasons. All changes are effective immediately when we post them, and apply to all access to and use of the Service thereafter.

If we make material changes to these Terms, we will make reasonable efforts to notify you, such as through an in-app notice, push notification, or by updating the "Last Updated" date at the top of this page. Your continued use of GenVid following the posting of revised Terms means that you accept and agree to the changes. If you do not agree to the revised Terms, you must stop using the Service and may delete your account.

We encourage you to review these Terms periodically to stay informed of any updates.
